KAP Games aims to become a fully decentralized autonomous organization, with tokenholders properly governing certain major decisions via both on-chain and off-chain consensus.

For certain decisions that may involve the execution of legal contracts or operational duties related to service providers, banks, and other counterparties, it is important that the DAO has a duly organized corporate benefactor to carry out the execution of such duties and agreements, which otherwise cannot be adequately executed by a distributed body of tokenholders. A Foundation constructed with the express mission of supporting and carrying out the will of the KAP tokenholders is commonly held to be the best vehicle of choice for DAOs.

Foundation directors must be ratified by the KAP tokenholders by way of majority rule. The Kapital Foundation is beneficiary-less, which means that the director themselves receives only administrative pay, but is not in a position to claim the assets of the DAO without the express consent of the KAP tokenholders, which is not a component of this current proposal.

Additionally, Foundation directors must interface closely with the elected KAP Governance Council (aforedescribed here), who are publicly nominated community members that have the rights and obligations to: (1) distill general discussion into actionable product direction proposals; (2) source and manage strategic partnerships and proposals aligned with the DAO’s development; and (3) approve exceptional operational expenses related to the DAO’s product development.

Director Nomination & Ratification

The distributed community has proposed a nomination of Noblegent as the presiding director of the Kapital Foundation. Noblegent is an experienced director who has served on other key web3 gaming Foundations over the past few years, and brings a wealth of experience to the table in terms of proper governance and accountability.

This proposal seeks to ratify the nomination of Noblegent as the director of the Kapital Foundation. If ratified, Noblegent will serve as the director of the Kapital Foundation until given instruction by the tokenholders to vacate the seat, or, at his own discretion, submit a letter of resignation.

Because the Kapital Foundation’s director will hold highly sensitive access to key contracts and wallets, it is critical to their personal safety and the security of the broader KAP DAO that their physical presence remain undisclosed. The director will, however, frequently interface with the community nominated KAP Governance Council to effect decisions and interact with service providers.

With Noblegent at the head of the Kapital Foundation, the KAP DAO has the ability to easily interface with the broader “web2 world” and continue to expand operations to further its original mission of driving greater participation in web3 gaming.

KAP Games was born out of a global body of players and software developers looking to push the boundaries of blockchain gaming through distributed SaaS and community content development.

As KAP Games matures, codifying our distributed DAO governance structure becomes paramount to ensuring continued alignment with the community’s best interests. To that end, three individuals (or entities) will be elected to the KAP Governance Council by way of democratic nomination.

Our governance structure follows a lineage of successful open-source governance bodies, namely Illuvium, Synthetix, and Ethereum itself, with additional inspiration from Compound.

KAP Governance Council Responsibilities

The KAP Governance Council is responsible for three key pillars:

1. Distilling general forum discussion into actionable product direction proposals.

2. Sourcing and managing strategic investments proposals aligned with our development.

3. Approving exceptional operating expenses related to the DAO’s product development.

Product direction proposals and strategic investment proposals will necessitate public voting periods, during which all $KAP holders (on Polygon and Ethereum) will be able to vote.

It is crucial to the development and decentralization of the KAP DAO that you exercise your right to vote during these proposal periods, as your voice is critical for ensuring the KAP DAO remains aligned with the web3 gaming zeitgeist and produces software and content that you find most promising.

Specification Overview

There are three core components of the KAP DAO’s governance system:

The KAP Governance Council consists of three nominees who have been democratically chosen by $KAP holders, and are granted the power to execute certain multi-sig transactions following a community vote. It is their explicit responsibility to interpret the will of the $KAP tokenholders and act in the ecosystem’s best interest.

KAP Improvement Proposals are community-sourced initiatives that aim to direct product development or strategic investment. Proposals are first discussed in a public forum (either our Discord or Discourse) before being pushed to Snapshot for a ratifying vote carried out by the $KAP holders. Votes must pass a simple majority to be implemented.

KAP Governance Contracts are on-chain functions that govern direct treasury disbursements and staking emissions. These functions may only be controlled by members who have staked their $KAP in the $KAP-ETH LP pool as the highest indication of commitment and alignment with the KAP DAO.

Council Epoch

Council members will serve for one epoch, defined as a 12 week period (one fiscal quarter). Council members will need to be nominated each quarter & win election to continue to lead the DAO.

Council Stipend

Council members will receive 10,000 $KAP per epoch. This reward is meant to be primarily symbolic in nature, as council members themselves should already be heavily invested and involved in the success of the KAP DAO, and would not wish to cause undue stress on treasury functions.

Council Powers

Each of the members of the KAP Governance Council will be granted one signing key to the KAP DAO’s multi-sig operational treasury wallet. As a refresher, a multi-sig is a wallet-like contract that requires multiple users to sign a transaction before execution. This ensures a higher level of accountability and security than would otherwise be possible using a single operating wallet variably held by a number of operational staff. Our Gnosis multi-sig requires a 3-of-5 majority for transaction execution.

As a reminder, the KAP DAO also utilizes on-chain governance and treasury functions, which will be enabled later this year. By leveraging a Gnosis multi-sig in combination with the KAP DAO’s existing on-chain treasury and governance functions, the DAO can achieve both the rapid speed necessary for software development as well as the slow-but-steady speed necessary for decentralization and security. We’ll be posting a more in-depth guide on our on-chain governance functions as the time comes closer for them to be enabled.

Kapital Foundation

As a compliant organization, the KAP DAO is served and operated by the Kapital Foundation, which acts as an instrument of the DAO when executing legal agreements and other operational on-the-ground tasks.

The Foundation holds two signing keys for the KAP DAO’s Gnosis multi-sig. Therefore, the Foundation cannot unilaterally execute transactions, but, in the case of a stalemate among the rest of the council, can serve as a tie-breaker to execute an emergency transaction.

10% of the $KAP supply will be reserved for staking rewards, with 5% allocated each year for the next two years. Note that the KAP DAO may in the future vote to buy back its own token in the open market and place it back into the staking pool contracts to continue to incentivize certain behaviors and drive decentralization further.

The $KAP / ETH staking pool will offer a variable locking period from 1 week to 52 weeks (1 year), and all rewards vest over 52 weeks (1 year) from the date of claim, similar to other projects like Illuvium. These longer staking periods will be rewarded with substantially amplified rewards.

Additionally, we’ve pioneered a new method by which stakers can re-lock their initial stakes in order to receive substantial reward boosts. These boosts increase over time until they’re used, thus creating a set of self-balancing incentives for liquidity providers to continue to stake longer.

This proposal requests the DAO’s consideration for the formal nomination of Playground Labs LLC (https://www.playgroundlabs.io/) as the set of core contributors for this first era of the Kapital DAO, and allocates funding to support continued core protocol development over the next two years. Playground Labs will be contracted to perform continuous core development and maintenance.

Playground Labs has been instrumental in the research and development of KAP Games’ guild management protocol. Today, the protocol is currently live and managing thousands of scholars. If this proposal is approved, Playground Labs will formally be the KAP Games’ core team for the next two years. After the end of those two years, a new vote will be held by the DAO to either a) continue disbursing treasury resources to Playground Labs to fund further development or b) choose new core contributors.
